Agreement
These Terms of Service (“Terms”) govern your use of the website at https://projectali.net and the services provided by Project Ali, LLC (“Project Ali,” “we,” “us”). By accessing this site or engaging our services, you agree to these Terms.
Services
Project Ali provides web design, development, AI integration, and related digital services. The specific scope, timeline, and deliverables for any engagement are defined in a separate written scope document or service agreement signed by both parties. These Terms apply in addition to any such agreement; in the event of conflict, the signed scope or service agreement controls.
Payment
Fees, billing frequency, and payment terms for services are set out in the applicable scope or service agreement. Invoices are issued through Stripe, and payment is due on the terms stated on the invoice.
No refunds. All payments — including deposits, one-time project fees, and recurring subscription fees — are non-refundable. Cancelling a recurring subscription stops future billing but does not refund amounts already paid.
Client Responsibilities
- Provide accurate information, content, and access credentials needed to perform the work.
- Respond to requests for feedback, approvals, or materials in a timely manner.
- Ensure you have the legal right to any content, trademarks, or materials you provide.
- Maintain your own backups of final deliverables once delivered.
Intellectual Property
Upon full payment for a project, you own the final deliverables produced specifically for you, except for third-party assets (fonts, stock imagery, plugins, libraries) which remain subject to their own licenses.
Project Ali retains ownership of pre-existing tools, frameworks, templates, and know-how used in delivering the work, and may reuse generalized code patterns and techniques on future projects. We may also display completed work in our portfolio and marketing materials unless otherwise agreed in writing.
Acceptable Use
You agree not to use the Project Ali website or any service we deliver to:
- Violate any applicable law or regulation.
- Infringe on the intellectual property or privacy rights of others.
- Transmit malware, spam, or other harmful code.
- Attempt to gain unauthorized access to our systems or those of our clients.
Third-Party Services
Our work often integrates third-party platforms — hosting providers, payment processors, analytics tools, AI APIs, and similar services. We are not responsible for outages, data loss, pricing changes, or policy changes imposed by those third parties. You are responsible for maintaining any third-party accounts required to operate your site or service after delivery.
Warranties and Disclaimers
The Project Ali website and our services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site or any service will be uninterrupted, error-free, or secure.
Limitation of Liability
To the fullest extent permitted by law, Project Ali, LLC and its members will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or relating to your use of the site or our services. Our total aggregate liability for any claim relating to the services will not exceed the amount you paid to Project Ali in the twelve (12) months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Project Ali, LLC and its members from any claims, damages, or expenses arising from (a) content or materials you provide, (b) your violation of these Terms, or (c) your use of deliverables in a manner inconsistent with applicable law or third-party rights.
Termination
Either party may terminate an ongoing engagement in accordance with the applicable scope or service agreement. We may suspend or terminate access to the website or any service at any time for conduct we reasonably believe violates these Terms. Provisions that by their nature should survive termination will survive — including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification.
Governing Law
These Terms are governed by the laws of the State of Alaska, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Anchorage, Alaska, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the site or our services after an update constitutes acceptance of the revised Terms.
